Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 26, 2020, the Board of Trustees (the “Board”) of Vornado Realty Trust (the “Company”) elected Beatrice Hamza Bassey to the Board.
Ms. Hamza Bassey has served as the Group General Counsel, Chief Compliance Officer and Corporate Secretary of Atlas Mara Ltd., an Africa-focused banking group, since February 2015. In her capacity as such, she has served as a member of the boards of directors of a number of Atlas Mara Ltd.’s subsidiary or affiliated banks operating in Africa. From September 1998 until February 2015, Ms. Hamza Bassey was an attorney with Hughes Hubbard & Reed LLP where she served as a partner, a member of the firm’s Executive Committee and Chair of the Africa Practice. Ms. Hamza Bassey is 48 years old.
As an independent Trustee, Ms. Hamza Bassey will participate in the Company’s Trustee compensation program for non-officers pursuant to which she will receive an annual cash retainer of $75,000, an annual grant of restricted shares or restricted units with a value equal to $175,000 (not to be sold while a Trustee, except in certain circumstances). In addition, as a newly elected Trustee, Ms. Hamza Bassey will receive one time equity award with a value of $250,000 (not to be sold while a Trustee, except in certain circumstances).
